1. Introduction

1.1 These Trading Terms govern the provision of professional services by Red Square Property Surveyors Ltd (“the Practice”, “we”, “our” or “us”) to clients (“you” or “your”) through our website or by direct instruction.

1.2 By requesting services, accepting a quotation or instructing the Practice, you confirm that you accept these Trading Terms together with any associated quotation, Terms of Engagement, Privacy Policy and Complaints Handling Procedure.

1.3 These Trading Terms may be updated periodically. Any amendments will apply only to future instructions and will not affect services already agreed.

2. Services

2.1 The Practice provides professional property consultancy and surveying services, which may include:

  • Building Surveys

  • Structural Inspections

  • Drone Roof Surveys

  • Defect Diagnosis

  • Measured Surveys

  • Planning Consultancy

  • Project Management

  • Contract Administration

  • Related Professional Consultancy Services

2.2 All services are subject to availability, suitability and formal acceptance by the Practice.

2.3 The Practice reserves the right to decline instructions where:

  • A conflict of interest exists;

  • Appropriate expertise is unavailable;

  • Health and safety concerns arise; or

  • Instructions fall outside the Practice’s professional competence.

3. Quotations & Instructions

3.1 Any quotation issued by the Practice shall remain valid for the period stated within the quotation unless withdrawn earlier.

3.2 Instructions shall not be deemed accepted until:

  • Written confirmation is received from the Client; and

  • The Practice confirms acceptance of the instruction.

3.3 The scope of services shall be limited to those expressly identified within the quotation or Terms of Engagement.

3.4 Additional services requested after appointment may be subject to additional fees and revised timescales.

4. Fees & Payment

4.1 Fees shall be charged in accordance with the quotation or agreed fee proposal.

4.2 Unless otherwise agreed in writing:

  • Survey fees are payable prior to inspection; and

  • Consultancy invoices are payable within fourteen (14) days of issue.

4.3 The Practice reserves the right to suspend services where payment remains outstanding.

4.4 Interest may be charged on overdue accounts in accordance with the Late Payment of Commercial Debts legislation.

4.5 The Practice reserves the right to recover reasonable administrative and legal costs associated with unpaid accounts.

5. VAT

5.1 All fees are stated exclusive of VAT unless expressly stated otherwise.

5.2 Where applicable, VAT shall be charged at the prevailing rate.

5.3 If the Practice is not VAT registered at the time of instruction, VAT shall not be added to fees unless registration occurs prior to invoicing.

6. Client Responsibilities

6.1 Clients shall:

  • Provide accurate information;

  • Facilitate safe access to properties;

  • Provide relevant documentation where requested;

  • Inform the Practice of known defects or hazards;

  • Ensure suitable permissions are in place for inspections.

6.2 The Practice may rely upon information provided by the Client or third parties unless otherwise agreed.

7. Site Access & Health & Safety

7.1 The Practice reserves the right to postpone, suspend or terminate inspections where conditions present unacceptable risks to health and safety.

7.2 Surveyors shall not enter unsafe areas, including areas affected by:

  • Structural instability;

  • Unsafe access;

  • Hazardous materials;

  • Aggressive occupants or animals;

  • Unsafe working conditions.

7.3 The Practice may recommend specialist consultants where additional expertise or safety measures are required.

8. Professional Services & Limitations

8.1 Professional opinions and recommendations are based upon observations made during the inspection together with information reasonably available at the time.

8.2 Unless expressly stated otherwise:

  • Inspections are non-invasive;

  • No opening-up works will be undertaken;

  • Concealed defects may not be identified;

  • Services do not constitute guarantees or warranties.

8.3 Reports are prepared solely for the benefit of the instructing Client and may not be relied upon by third parties without prior written consent.

9. Appointments & Cancellations

9.1 Clients may cancel appointments by providing reasonable notice prior to the inspection date.

9.2 The Practice reserves the right to charge cancellation fees where:

  • Late notice is provided;

  • Significant preparation work has been undertaken; or

  • Site attendance has already occurred.

9.3 Where inspections cannot proceed due to denied access, unsafe conditions or client-related delays, additional charges may apply.

10. Liability

10.1 The Practice shall maintain Professional Indemnity Insurance in accordance with RICS requirements.

10.2 To the fullest extent permitted by law, the Practice’s liability arising from any instruction shall be limited to the level of Professional Indemnity Insurance maintained at the date of the instruction unless otherwise agreed in writing.

10.3 Nothing within these Trading Terms excludes liability for:

  • Death or personal injury caused by negligence;

  • Fraud or fraudulent misrepresentation; or

  • Any liability which cannot lawfully be excluded.

10.4 The Practice shall not be liable for indirect or consequential losses, including loss of profit, business interruption or loss of opportunity.

11. Website Information

11.1 Information contained on this website is provided for general guidance only and does not constitute professional advice.

11.2 Whilst reasonable efforts are made to ensure accuracy, the Practice makes no guarantee that website content is complete, current or error-free.

11.3 Professional advice should always be obtained before acting upon information contained within this website.

12. Data Protection & Privacy

12.1 Personal information shall be processed in accordance with:

  • UK GDPR;

  • Data Protection Act 2018; and

  • The Practice Privacy Policy.

12.2 By using the website or instructing the Practice, you acknowledge that personal information may be processed for legitimate business purposes connected with the instruction.

13. Intellectual Property

13.1 All website content, reports, drawings, photographs and documentation produced by the Practice remain the intellectual property of Red Square Property Surveyors Ltd unless otherwise agreed in writing.

13.2 No material may be copied, reproduced or distributed without prior written consent.

14. Complaints

14.1 The Practice operates a formal Complaints Handling Procedure in accordance with RICS requirements.

14.2 A copy of the Complaints Handling Procedure is available upon request or via the Practice website.

15. Governing Law

15.1 These Trading Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

15.2 Any dispute arising from these Trading Terms shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
